IMPORTANT — PLEASE READ CAREFULLY. THIS DISCLOSURE EXPLAINS YOUR RIGHTS REGARDING ELECTRONIC RECORDS AND ELECTRONIC SIGNATURES. BY CHECKING THE "I CONSENT TO USE ELECTRONIC SIGNATURES" BOX IN THE BOOKING FLOW, YOU AGREE TO THE TERMS BELOW.
This E-Sign Disclosure and Consent ("Disclosure") is provided by Trulo Corporation, a Delaware corporation ("Trulo," "we," "us," or "our"), to every user who signs a document electronically on the Trulo Platform at jointrulo.com. This Disclosure is provided under the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. §§ 7001 et seq., the "E-SIGN Act") and the Uniform Electronic Transactions Act as adopted in Massachusetts (Mass. Gen. Laws ch. 110G) and Delaware (6 Del. C. § 12A-101 et seq.) ("UETA").
1.1 Covered Records. Your consent covers the electronic delivery, review, execution, and retention of the following records (collectively, the "Covered Records"):
– The Commercial License Agreement between Host and Tenant, including any attachments, schedules, exhibits, addenda, riders, or incorporated terms.
– Any High-Risk Use Addendum, Host Addendum, Tenant Addendum, or similar addenda executed as part of a Booking.
– Any amendments, extensions, renewals, or termination notices to the foregoing.
– Any related disclosures, receipts, confirmations, tax forms (including Form W-9 and Form 1099), and payment authorizations delivered through the Platform.
– Any notices, consents, acknowledgments, or other communications Trulo is required or permitted by law to provide in writing.
1.2 Parties Bound. This Disclosure applies to you whether you are signing (a) in your individual capacity, (b) as an authorized representative of a business entity (including an LLC, corporation, partnership, or sole proprietorship), or (c) both. If you are signing on behalf of an entity, you represent that you have authority to bind that entity and that the entity is deemed to have given the consents described herein.
By checking the "I consent to use electronic signatures" box and clicking to sign inside the embedded signing window, you affirmatively:
– Consent to receive and sign the Covered Records electronically rather than on paper.
– Agree that your click-to-sign action inside the embedded signing interface, your typed or drawn signature, and your selection of a signature block constitute your legally binding electronic signature under the E-SIGN Act and UETA.
– Agree that such electronic signature has the same legal effect, validity, and enforceability as a handwritten signature executed on paper.
– Agree that the Covered Records, once executed, are legally binding original records and may be introduced as evidence in any legal, regulatory, or administrative proceeding to the same extent as paper originals.
– Acknowledge that you have had an adequate opportunity to review this Disclosure and the Covered Records before signing.
3.1 PandaDoc. Trulo uses PandaDoc Inc. ("PandaDoc") as its third-party electronic signature and document execution vendor. The signing interface is embedded inside the Trulo booking wizard, but the signature, audit trail, timestamp, IP address, and executed PDF are generated and stored by PandaDoc in compliance with the E-SIGN Act, UETA, and PandaDoc's SOC 2 Type II controls. PandaDoc's Privacy Notice is available on pandadoc.com.
3.2 Audit Trail. Each executed document includes a certificate of completion containing signer identity, email address, IP address, device information, and timestamps for delivery, viewing, and signing. This audit trail is part of the executed record and is retained together with the signed document.
3.3 Signing Order. For most Bookings, the Tenant signs first, followed by the Host. Payment is not captured and the Booking is not finalized until both parties have executed the Commercial License Agreement. The document is not legally binding on either party until it has been executed by both.
4.1 How to Request. You have the right to receive a paper copy of any Covered Record at any time, whether before or after electronic execution. To request a paper copy, email contact@jointrulo.com with the subject line "Paper Copy Request" and include (a) your full legal name, (b) the email address associated with your Trulo account, and (c) the Booking or document reference (if known).
4.2 Timing. Trulo will mail the requested paper copy by United States first-class mail to the address on file within fifteen (15) business days of receiving your request.
4.3 Fee. Trulo does not charge a fee for paper copy requests.
4.4 No Waiver. Requesting a paper copy does not constitute withdrawal of your consent to use electronic signatures or electronic records, and it does not affect the validity of any previously executed Covered Record.
5.1 Before Signing. You may withdraw your consent to use electronic signatures at any time BEFORE you complete signing the Covered Record. To withdraw consent before signing, (a) uncheck the consent checkbox inside the booking wizard, or (b) email contact@jointrulo.com with the subject line "Withdraw E-Sign Consent." Withdrawal before signing does not penalize you, but Trulo may be unable to complete your Booking electronically. If you withdraw consent before signing, you may request to complete the Booking on paper, subject to Host availability and any reasonable processing delays.
5.2 After Signing. Withdrawal of consent AFTER you have executed a Covered Record does NOT invalidate, rescind, or otherwise affect the legal validity or enforceability of any Covered Record that was already executed electronically prior to the withdrawal. A withdrawal applies only to future electronic records and signatures.
5.3 Consequences of Withdrawal. If you withdraw your consent, Trulo may (a) decline to process further Bookings that require electronic signatures, (b) deliver future required records by U.S. mail to the address on file, or (c) suspend or terminate your account if electronic delivery is operationally necessary to continue providing Platform services. No fee will be charged for withdrawing consent.
To receive, review, sign, and retain electronic records through the Trulo Platform and PandaDoc, you must have:
– A personal computer, tablet, or smartphone with a current operating system that receives security updates from its manufacturer.
– A current version of a modern web browser (Google Chrome, Apple Safari, Mozilla Firefox, or Microsoft Edge, each updated within the last twelve (12) months).
– A stable internet connection with sufficient bandwidth to load and render web pages and PDF files.
– A valid email account capable of receiving messages from trulo.com, jointrulo.com, and pandadoc.com, including attachments.
– Software capable of viewing, saving, and printing PDF documents (for example, Adobe Acrobat Reader, Apple Preview, or the built-in PDF viewer in the browsers listed above).
– Sufficient local storage, cloud storage, or printing capability to retain a copy of each Covered Record for your records.
– Cookies and JavaScript enabled in your browser for the duration of the signing session.
If Trulo materially changes the hardware or software required to access or retain Covered Records in a way that creates a material risk that you will not be able to access or retain a subsequent Covered Record, Trulo will notify you in advance and will give you the right to withdraw consent without penalty.
You are responsible for keeping your contact information current. To update your email address, mailing address, or phone number:
– Log in to your Trulo account and edit your profile under Account Settings, OR
– Email contact@jointrulo.com with your updated information and the email address associated with your account.
Trulo is entitled to rely on the contact information you have most recently provided. Delivery of any Covered Record or notice to the email address or mailing address then on file shall constitute effective delivery for all purposes.
8.1 Retention Period. Trulo retains the executed PDF of each Commercial License Agreement and related Covered Records for a minimum of seven (7) years following the expiration or termination of the Booking to which they relate, or such longer period as required by applicable law, tax regulation, or ongoing dispute. Storage is maintained both within PandaDoc and within Trulo's production database by reference to the PandaDoc document identifier.
8.2 Your Own Copy. At the time of execution, both the Tenant and the Host receive a copy of the executed PDF by email from PandaDoc. You are strongly encouraged to download and retain your own copy. Trulo is not liable for any loss of access to records caused by your failure to retain your own copy, changes in third-party email providers, or other circumstances outside Trulo's control.
8.3 How to Request a Copy. You may request an electronic copy of any retained Covered Record at any time by emailing contact@jointrulo.com with the subject line "Record Copy Request." Trulo will provide the electronic copy at no charge within five (5) business days. Paper copies are governed by Section 4.
Trulo and PandaDoc use reasonable administrative, technical, and physical safeguards to protect the confidentiality and integrity of Covered Records, including encryption in transit (TLS) and encryption at rest, role-based access controls, and tamper-evident audit trails. No electronic system is perfectly secure; you acknowledge that electronic transmission and storage carry inherent risks, and you agree that Trulo's liability for any security incident is governed by the Limitation of Liability provisions in the Trulo Terms of Service.
This Disclosure is provided for informational purposes regarding your rights under the E-SIGN Act and UETA. It is not legal, tax, or professional advice. If you have questions about whether electronic signatures are appropriate for your particular transaction or jurisdiction, you should consult an attorney before signing.
This Disclosure and your consent hereunder are governed by the laws of the State of Delaware, without regard to its conflict of laws principles, consistent with Trulo's Terms of Service. Nothing in this Section limits the application of the E-SIGN Act or of UETA as adopted in the Commonwealth of Massachusetts to the execution of Covered Records within Massachusetts.
This Disclosure is incorporated by reference into the Trulo Terms of Service, the Privacy Policy, the Commercial License Agreement, and any addenda executed by you through the Platform. In the event of a conflict between this Disclosure and any other agreement with respect to the use of electronic signatures or electronic records, this Disclosure controls on those specific subjects.
Trulo may update this Disclosure from time to time. The version in effect on the date you execute a Covered Record governs that record. Material changes will be communicated by email or in-Platform notice at least ten (10) days before they take effect, and you will have the right to withdraw consent without penalty before the changes take effect.

BY CHECKING "I CONSENT TO USE ELECTRONIC SIGNATURES" AND PROCEEDING WITH THE BOOKING, YOU ACKNOWLEDGE THAT (A) YOU HAVE READ AND UNDERSTOOD THIS DISCLOSURE, (B) YOU MEET THE HARDWARE AND SOFTWARE REQUIREMENTS IN SECTION 6, (C) YOU ARE ABLE TO RECEIVE, REVIEW, AND RETAIN ELECTRONIC RECORDS, AND (D) YOU CONSENT TO USE ELECTRONIC SIGNATURES FOR THE COVERED RECORDS.
